@rajab1377: Exactly your point! Indonesia is the biggest Muslim country in the world with more than 650,000 mosques (registered) and perhaps millions more of unregistered ones (including madrasah, pesantren etc). We even have Minister of Religious (Islamic) Affairs ââ¬â whose salary is paid by hard-working tax payers from ALL RELIGIONS! If you still think the reason of these school brawls was because Indonesia is lacking religious knowledge or institutions etc, that's BS crap! How many more mosques do we need? 50 millions, one for each Indonesian? And if you think because Indonesia doesn't properly follow Islamic laws, go to Aceh and see it for yourself all the human rights violations by Syariah Police, aside of intense drugs and human traficking! In fact Aceh was recently surveyed as the no. 2 most corrupt province (behind Jakarta *gasp! ). Talking about hypocrisy! The children who can kill at this young age can do more bigger crime when he/she will grow old. Its a shameful act & killer's parents must curse themselves for upbringing a killer. Shame on them.This happens due to lack of religious knowledge ; no proper following Islamic laws, the law of Allah mighty ; Glorious, Lord of the Worlds which leads you to live a beautiful life in Dunya ; will give you salvation in Akhirat. These are some of the examples of instances of violence in school. Who knows? The same thing could happen to the school in which your child is studying as well. So it is very important that you need to know about the measures to be taken in order to prevent school violence. One of the most important causes for children to develop fight inside a school is because of their attitude.If the attitude of the children is quite rough or arrogant then he can pick up a fight quite easily and at his own will. So it is very important for a child to have a good and proper attitude in order to avoid school violence. But if this is to happen then it is the duty of the parents to take care of it. They s hould give their child proper love, care, affection and a quality home atmosphere in order to develop a proper attitude. In most cases the children become arrogant because of a stressed out home atmosphere.Just consider a case where you fight with your husband/wife in front of your child. Though you may feel that the child is too young to take it very seriously, it does have some sort of impact on the young minds. They too tend to take your path. They will become arrogant as well simply because of the reason that parents have an arrogant attitude. So parents should understand these little things and act in a wise manner to provide your child with a proper home atmosphere so that he grows out to be a good mannered child.Teachers have their roles in preventing school violence as well. They should be responsible enough to look after each and every child in the class and understand their needs as well. The teacher should be specific and fair in their dealings as well. They should not be biased in their actions because this is one of the prime reasons for a child to develop hatred and jealousy. Also a teacher should take necessary steps in order to ensure that there are rivalries among students which could possibly end up in a brawl. This is because brawls never end in a brawl at all.They will have a continual effect and these brawls can very well lead to the children ending up committing violence of one form or the other. The school authorities will have to make sure that the children does not possess any kind of weapons like knives or guns. They should keep a constant vigil on the students in order to avoid violent activities in schools. There is only final word that is sufficient to eradicate school violence and that is ââ¬Å"responsibilityâ⬠. If each and every individual understand their responsibility very clearly then there is no such problem of school violence

Othelloââ¬â¢s position as an outsider fuelled by his insecurities Essay
In what ways does Othelloââ¬â¢s position as an outsider fuelled by his insecurities bring about his downfall? Shakespeare was on of the greatest writer of all time he wrote many plays and among them there are his timeless tragedies. Some of the most popular are ââ¬ËRomeo and Julietââ¬â¢, a typical love tragedy, ââ¬ËMacbethââ¬â¢ and the famous ââ¬ËOthelloââ¬â¢. Tragedy is one of the oldest genres in literature. It started off in Greek times and one of the earliest writers was Aristotle. Shakespeare was influenced by Greek and Roman thought and ideas, which he used in his own revenge tragedies. Shakespearean tragedies are all set around the hero. The hero normally has a fatal flaw that causes the downfall of the hero. These ideas are clearly shown in the revenge tragedy ââ¬ËOthelloââ¬â¢. In the play, Othello is a typical revenge hero. Othello is a cultural and racial outsider he is a moor, which is a natural of Northern Africa. This featured separates him from the other characters. He is a well-respected man who is a loyal officer and has repeatedly proved himself in a battle, but people still do not accept him as one of them. This fuels Othelloââ¬â¢s insecurities and the way people treat and talk to him build on the many insecurities he already has. Throughout the play there are many references to Othelloââ¬â¢s race and social background. In scene one the audience are introduced to Othello through Iago and Brabantio conversing about him. The audience are informed that he is marrying the Kingââ¬â¢s daughter (Desdemona) behind the Kingââ¬â¢s back. This is highlighted by a quote from Act one Scene one ââ¬Å"A black ram is tupping your white +eweâ⬠. The audienceââ¬â¢s first impressions of Othello are that he is sly and untrustworthy. The imagery used by Iago ââ¬Å"black ramâ⬠and ââ¬Å"white yewâ⬠signifies the differences between Desdemona and Othello, Othello is black and Desdemona is white. Not simply this but other ideas are connoted by these images to the audience. Black symbolising hate and evil while white symbolising purity, good and angelic. This opposite effect between them gives a negative effect on the audience about Othello. Witchcraft is spoken of ââ¬Å"He thought tââ¬â¢was witchcraftâ⬠by Iago and Rodrigo as there is no other reason for a pure and angelic character to love such a hideous beast. The ideas of witchcraft being mentioned shows that people are thinking that Othello has put a spell on Desdemona for her to love him. Othello isnââ¬â¢t seen as attractive or conventionally good looking. His colour makes him unappealing and frightening implied by the imagery used by people in the play when speaking about Othello. When referring to Othello. ââ¬Å"The Moorâ⬠and ââ¬Å"Thick lipsâ⬠are used as references to Othelloââ¬â¢s colour in many scenes. The imagery of animals or beasts is used a lot, ââ¬Å"Black ramâ⬠and ââ¬Å"barbary horseâ⬠. This is bringing Othello to an animalistic level with the imagery of wild un tamed animals or beasts. This is used to insult Othelloââ¬â¢s colour and his racial background. By saying he is of a low level and uncivilised. Although a lot of insults are directed towards Othello these insults are never spoken to his face. This is because Othello is a valuable and skilled soldier he has done a lot for the country and people respect him for that. ââ¬Å"I have done the state some service and they knowââ¬â¢t.â⬠When speaking to Othello, Iago and Rodrigo call him ââ¬Å"my lordâ⬠This shows respect and Othello seems to be accepted into their Venetian society because of his fighting ability, although the dramatic irony is clearly shown when Iago says, ââ¬Å"I do hate him as I do hells painsâ⬠but when speaking to Othello in Act 4 Scene 4 he says. â⬠You know I love you my lord.â⬠This would be one thing that would change the audienceââ¬â¢s views about Othello and make them more aware of Iago as this starts to show his true colours. Iago mentions the word hell signifying the devil and pure evil, this again relates to the views and opinions people have on Othelloââ¬â¢s racial background. His black skin reinforces the images and thoughts also. Discrimination is a key theme during this play a lot of which is aimed at Othello. Although Othello has been accepted into their society he still feels conscious about his racial background as he states , ââ¬Å"haply, for I am blackâ⬠. Othello knows that heââ¬â¢s an outsider to them and understands why, his unknown qualities may be threat to some but on the other hand others are intrigued which Is shown when he says, ââ¬Å"her father loved me/oft invited me/still questioned me about the story of my life.â⬠People do not like to accept the unknown but like to question it or like Iago feel the need to push it away. The unknown is ventured into by Desdemona she crosses the line between her society and the unknown by marrying Othello. This shocks and seems outrageous but it helps Othello be accepted more into their society. Desdemona was once too scared by Othelloââ¬â¢s race this is highlighted by the quoteâ⬠And when she seemed to shake and fear your looks.â⬠But she looked beyond this â⬠I saw Othelloââ¬â¢s visage in his mindâ⬠. This shows that if one can see the inner beauty then why canââ¬â¢t every one else? Perception is a key theme during the play. The audience see that Othello is beautiful not on the outside but on the inside. Iago although he appears beautiful the audience see a different view they see more than skin deep. Desdemona accepts Othello for who he is, therefore Othello feels safe and secure with her. He loves and adores Desdemona and would do anything for her. This is clearly shown in Act4 Scene4 ââ¬Å"And I when I love thee not, chaos is come again.â⬠This is implying that without Desdemonaââ¬â¢s love it would be the end of the world, the end of Othello. When Iago starts to question Desdemonaââ¬â¢s love for Othello, Othello now feels he cannot trust Desdemona. This affects him because she makes him feel accepted because she loves him for who he is and now he feels unaccepted into their society. Iago knows this so he plays on these insecurities to get what he wants. I think this quote is a good description telling the audience he is comparing Othello to an Ass, and Iago is leading him with his lies. ââ¬Å"And will as tenderly be led by thââ¬â¢nose as asses are.â⬠This creates an image of an animal being led away so easily by something so simple, but by something it loves and craves. Iago does not tell Othello anything about Desdemona and Cassio he just cleverly puts thoughts into Othelloââ¬â¢s head, it is shown well n this quote, ââ¬Å"Ha I like not thatâ⬠¦Nothing my lord.â⬠Iago immediately catches Othelloââ¬â¢s attention and he is eager to find out more. Iago plants the seed of doubt and nurtures it over act 3. Iago carries on and starts to mention Cassio although he doesnââ¬â¢t say anything about Desdemona and Cassio being together he implies it, shown in this quote ââ¬Å"I cannot think he would sneak away so guilty like, seeing you coming.â⬠These quick sentences get Othelloââ¬â¢s mind racing, with doubt and jealousy. The words that make Othello eager are ââ¬Å"sneakâ⬠and ââ¬Å"guiltyâ⬠this really sets the scene for a private affair. Othello panics and he answers Iago quick trying to find out more. ââ¬Å"What dost though think?â⬠As the scene progresses Othello becomes suspicious and starts to get annoyed with Iago, as it seems Iago knows something and is not telling Othello, Othello says ââ¬Å"Show me thy thoughtâ⬠. Othello, feeling an outsider already is now separated from the group even more as there are secrets revolving around that he knows nothing of. Iago realises that Othello may not believe him, to get Othello to trust him and start to believe him he says ââ¬Å"You know I love you my lord.â⬠This dramatic Irony starts to show the audience that the real villain is Iago in the play and their sympathy goes out to Othello as all he is, is another ââ¬Å"cogâ⬠in Iagoââ¬â¢s conniving and twisted plan. Toward the end of the scene Iago starts to really play on the insecurities of Othello. ââ¬Å"She did deceive her father marrying youâ⬠. This implies that if she can deceive her own blood then what chance does Othello have? This idea was brought up at the start of the play when Othello was speaking to Desdemonaââ¬â¢s father, and he warns Othello of her background telling him that she has deceived him many times before. So Othello starts to really believe it now. ââ¬Å"Why did I marry?â⬠To make sure Othello really understands Iago, Iago starts to imply that Othello being an outsider means he does not know a lot about their society. Iago comes from this society so anything said, Othello will believe because he doesnââ¬â¢t know any different. ââ¬Å"In Venice they do not let god see their pranks, they dare not show their husbands; their best conscious.â⬠Here Iago is implying that Venetian women are not what they seem. Iago knows this from past experience and implies Othello has been pulled in by their deceptive ways. Othello is starting to doubt his position in the society as he realises he does not know enough. This plays on his insecurities and he feels more of an outsider than heââ¬â¢s ever felt. This is shown by his epileptic fits on stage as he works himself up so much his body shuts itself down. His epileptic fits contribute to his outsider qualities as this is a fault within him, which separates him from the society. People donââ¬â¢t understand him and therefore canââ¬â¢t accept him totally into their society. This gives Iago a chance to work situations to his advantage like the Cassio and Bianca scene. Othello becomes more and more insecure and vulnerable he ââ¬Ëneedââ¬â¢sââ¬â¢ to rely on Iagoââ¬â¢s advises more. Iago gets him to depend on him and a power change occurs. The audience are aware of the change by Act 4 scene 4 when it is clearly shown. From then on Othello becomes more and more insecure, and Iago ââ¬Ëfeedsââ¬â¢ on his weakness. ââ¬Å"Rude am I in speech / And little blessed with the soft phrase of peace.â⬠(A statement form Othello.) This is showing us that Othello is presenting himself as an outsider and constantly brings up his differences from other Venetians. This insecurity is brought on by the thoughts of other people. If everyone else thinks it, then Othello starts to think it too because he is so unsure about himself. Another quote that shows this is when Othello says, ââ¬Å"Haply for I am black/and have not those soft parts of conversation.â⬠Othello knows he is discriminated against his colour and he admits it ââ¬Å"Haply for I am blackâ⬠, his colour is linked to the ideas of a beast he refers to this by saying, ââ¬Å"have not those soft parts.â⬠The ââ¬Å"softâ⬠in this sentence is the total opposite of what is thought about Othello. He now discriminated himself and compares him self to other people and this is when he thinks his whole world is crumbling around him especially because his one true love has supposedly betrayed him. If Othello chooses not to believe in himself and lets himself be an outsider from the rest, then what chance does he have expecting others to accept him? Othelloââ¬â¢s position as an outsider is in a lot of way fuelled by his insecurities. This is a serious weakness that comes across on Othello and the paranoia he has upon himself does not help. Desdemona gave him the confidence to not care, but Iagoââ¬â¢s twisted and conniving ways led Othello to believe his one true love was not there beside him any more helping him through the tough times. Desdemona fuelled the little confidence Othello had and it was this reason that Iago used to break Othello. In the last scene Othello speaks ââ¬Å"Like a base Indian, threw a pearl away.â⬠Here in this metaphor Othello has realised Desdemona was his pearl the one thing left that made him she was his world and his world had now gone.

American Dream in Great Gatsby
The Idea that Pervades Society The American dream is the longing of success that means a happy family and equal opportunity to go from rags to riches, through hard work. This idea is scene in a lot of places. On the picture by Margaret White, the poster proclaims: Worldââ¬â¢s Highest Standard of Living-There is no way like the American Wayâ⬠. Or the headline of the newspaper story is ââ¬Å"The American Dream, the subtitle is Doing Well by Doing Good. â⬠Examples of the American dream are almost invisible when looking at average Americans. In the photograph, there are hungry people carrying buckets. None of them are white and none of them look remotely happy in front of the camera. This shows how not everyone can live the American Dream especially if they are barely getting by. Immigrants also failed to reach the American dream for reasons like not being able to speak English and lack of resources. Having a happy family is not easy either. There is lots of conflict at home over the dinner table and no time for American adults to have fun once they have kids. It is unrealistic to expect fun when there is housework, bills to pay, and more. Although it sounds good, it is a negative force in our society because it is just too good to be true. The American dream means equal opportunity to go from rags to riches. Sometimes, aggression may be necessary to get this ââ¬Å"equal opportunityâ⬠due to circumstance. ââ¬Å"At the time, most southern blacks could not share a water fountain, a beach, a bus seat, a school room, or a voting booth with southern whites. â⬠(Moser, and Watters) This barrier to civil rights meant that many were considered inferior and could not succeed because they were separate from the average American. This shows that the American dream is unrealistic for blacks. Langston Hughes states how America should be a land ââ¬Å"where Liberty is crowned with no false patriotic wreath, But opportunity is real, and life is free, Equality is in the air we breathe. â⬠(Hughes) However, he later asserts that ââ¬Å"America never was America to me, And I swear this oath-America will be! â⬠(Hughes) This reiterates how this equal opportunity will be there in the future. Thus, showing how the American dream is currently unrealistic for them. Immigrants who were not American tried to go from rags to riches as well. ââ¬Å"Education was free. That subject my father had written about repeatedly, as comprising his chief hope for us children, the essence of American opportunity, the treasure that no thief could touch, not even misfortune or poverty. â⬠(Antin) This shows his belief in the equal opportunity in America. In the end, many of this people did not fully realize the dream and may have ended up in a worse financial situation than before. The Antinââ¬â¢s wound up losing everything after the storm on Crescent Beach. They could not achieve the success that the American dream entitled. Her father was ââ¬Å"master of no art, of no trade; that even his precious learning was no avail, because he had only the most antiquated methods of communicating it. â⬠(Antin) They did not expect this would matter but being immigrants put them at a disadvantage. It is clearly not achievable for the poorer Americans and immigrants who probably worked very hard but live in an oppressive society that values background over hard work. You need to be a white American gentleman to succeed like Tom who lives in East Egg. The American dream means a happy family with a nice house and all the amenities of civilization. However, how can a family be happy when there is so much work to be done at home? ââ¬Å"A good home life for a family of four took about 60 hours of nurturing work per week in 1982. That work may have been more physically arduous in the past, but never more complex than now. â⬠(Hayden) Today, itââ¬â¢s nowhere near that amount but it is still quite a load. On top of that, people are picky meaning that ââ¬Å"part of homemaking involved seeing that each family memberââ¬â¢s myriad personal needs are fully met. For example, ââ¬Å"Home cooking requires meals prepared to suit the personal likes and dislikes of family members.(Hayden) How can the American dream be achieved when you worry so much about homemaking? The idea of a happy family ceases to exist because of this. Even rich people with all the amenities like the laundry machine, dishwashers, refrigerators, and stoves still have a lot to worry about. Rich people still need to worry though about their kidââ¬â¢s educat ion and choose to private school their kids. However, ââ¬Å"this puts more pressure on families, cutting them off from the diversity and connectedness of the proverbial village. Poorer families without the same resources to send their children to school worry even more about this. There are exorbitant rates for the top state universities and federal aid is hard to come by. The journal of health and Social behavior published her findings that ââ¬Å"adults with children experience depression and unhappiness in greater numbers. Our expectations that children guarantee a life filled with happiness, joy, excitement, contentment, satisfaction, and pride are an additional source of stress for all parents. This shows that happiness is hard to achieve and many are dissatisfied because of the times when they have housework to do. A lot of the times, Motherââ¬â¢s in their sphere do not have many people to talk to except for other women. ââ¬Å"Or it may come from husbands and children who finally notice when their wives and mothers break down. â⬠(Hayden) For example, Daisy in the Great Gatsby had a hard time dealing with Tom, who had a bad temper. ââ¬Å"You did it, Tom, she said accusingly. I know you didnââ¬â¢t mean to but you did do it. Thatââ¬â¢s what I get for marrying a brute of a man, a great big hulking physical specimen. â⬠(Fitzgerald 16) During this incident, Tom intentionally broke Daisyââ¬â¢s finger for no reason. Daisy was very upset about having to put up with this. This shows how not everyone is happy all the time. Later on at the end, Daisy was so upset about Tomââ¬â¢s mistress and almost left Tom for Gatsby. She states, ââ¬Å"Why, -how could I love him-possibly? â⬠(Fitzgerald 139) This is in response to Gatsby telling her to state that she never loved him. In this case, ââ¬Å"himâ⬠refers to Tom, who now desperately wants her back. Even if a family is wealthy or poor, there is so much going on at home that people are likely to be unhappy. Although it sounds good, there are lots of problems in life preventing the American Dream from happening. Every day, there is housework, kids to take care of, and bills to pay. This makes home life frenetic all the time. Unless you can afford a housekeeper and somehow have a perfectly content family, you should not wish for the American Dream. The American dream is the longing of success that means a happy family and equal opportunity to go from rags to riches through hard work. A lot of people decided to immigrate here in pursuit of this dream. Many of them were disappointed when it ended in failure although they worked hard. The American dream was simply out of their reach like with Mary Antinââ¬â¢s father. Therefore, the American Dream has a negative impact on our society because of its false promises that cannot be achieved by the overwhelming majority. So until you can guarantee equal opportunity, limited house work, and no home conflict the American dream will cease to exist.

The Use of Sports in The Blind Side - Essay Example In the monologue, Leigh Anne injects a metaphor of sports as household budget: ââ¬Å"As every housewife knows, the first check you write is for the mortgage, the second is for the insurance,â⬠referring to the quarterback as the highest paid football player, and the left tackle as the second highest paid. The left tackle protects the quarterback on his blind side, and thus acts as insurance. Michael Oher was transformed by a combination of the love of his new family and his affinity for his new sport. He proved to be the ideal left tackle as he had a 98 percentile protective instinct. Camera shots played on his sudden change from quiet submission to assertiveness in locking the car door and ordering Leigh Anne not to leave the car in a dangerous neighbourhood. He translated this protective instinct to his team. He visualized his family members among his team mates, and used this visualization in his role as left tackle. This was shown in the close-up shot of Michaelââ¬â¢s fa ce with the voice-over of Leigh Anne, and the tights shots and the surprised reaction of the opposing players. The juxtaposition of sports and family life (with his biological and then his adoptive mom) further underscored family as the major theme and integrating sports into it. This message was carried forward when Leigh Anne was able to get Michael to play better than even his own coach can (ââ¬Å"This team is your family, and you have to protect them. Tony is your quarterback. You protect his blind side. When you look at him, think of me.â⬠) (Scholastic Scope, 2009). Michaelââ¬â¢s improved game was not due to a study of technique as his coach was teaching, but by being given the proper motivation by Leigh Anne. In the family, sports was a way of life with members of the family participating meaningfully in helping Michael get his football scholarship. SJââ¬â¢s negotiations with the university coaches vying to draft Michael without anybody (including the coaches) thin king it strange that the decision as to which university gets Michael requires winning over the small boy. Though the sports in this movie is a secondary theme it is nevertheless integral to the story, and the few football scenes that were included highlighted Michaels gradual development. In the initial game the moving shots and close ups gave the viewer the feeling of being part of the action. The close up shots highlighted Michaelââ¬â¢s initial temerity, and then his change in attitude after his protective instincts have been triggered. Shots closed up on the reactions of the spectators, the bursts of cheers from the cheerleaders, and the interactions of players and coaches in both teams provided strong context against which the metamorphosis of Michael, from timid softie to aggressive blocker, was shown. Also, the choreographed plays showed that even a full contact sport like football should not be excessively violent. The trailing shots showed Michael ââ¬Å"pulling his punc hesâ⬠ââ¬â exerting only enough effort to stop his opponent, and when his opponent was down his instruction for the latter to ââ¬Å"stayâ⬠in order to avoid getting hurt more than necessary. Parallels were drawn between sports and literature. The effect of prejudicial actions on students is broad, extending from lower school performance to deprived mental and physical health. Breach of Contract Example The purchase and sale agreement signed on August 1st 2014, between Insurance Depot Limited (Depot) and Mr. Sanford (Sanford), is a legally binding contract. As a result, Depot will be able to effectively enforce its contract with Sanford by taking legal action. Depots contract with Sanford satisfies the necessary elements of consideration, consensus, intention, legality, and capacity: Consensus There was a written agreement that was signed by both parties. This is proof of an offer and signed acceptance. Consideration Sanford sold his business for $1.4 million to Depot this is an exchange. Intent Intention is presumed in commercial transactions such as the sale or purchase of a business. Capacity and legality There is no evidence to suggest that either party lacked capacity, and both were represented by legal counsel. There were no signs of illegality in the contract. Because the contract satisfies all major elements outlined above, it is enforceable under the rules of contract law. What will be the likely result if they go to trial? If they go to trial, Depot must successfully demonstrate that Sanford breached at least one of the provisions of the contract. The contract outlines one major restrictive covenant: a non-competition clause. In this case, Depot can sue Sanford for breaching the non-competition provision of the purchase and sale agreement. The non-competition clause is legally enforceable as it is reasonable, and it does not contradict public policy. The clause is also clear and unambiguous. It is specific as it denotes the time frame of five years and geographical range of one hundred kilometres that prohibit Sanford from engaging in the business of insurance brokerage. In order for the clause to be enforceable, these constraints need to be considered reasonable. The geographic and time-based restrictions are assumed to be reasonable in this case. Sanford violated the non-competition clause by opening his new insurance brokerage only two blocks away from Depot. Sanfords breach of the non-competition clause effectively gives Depot the right to claim damages. In order to be entitled to a remedy, Depot must prove in a court of law that Sanfords breach of contract adversely affected Depots business profits. Depot could then be awarded financial compensation (pecuniary damages) for the lost potential business. In addition, Depot may also be entitled to the equitable remedy of an injunction on Sanfords new business. This would mean Sanford would have stop business operations until the five-year time span has elapsed, allowing Depot to establish itself as a major industry player in the area. In terms of solicitation, Sanford did not actively solicit customers these customers chose to switch to Sanfords new firm at their own will. If the contract did include a non-solicitation clause, Depot would likely be unsuccessful in taking legal action with regards to it.Ã Depot should focus its legal efforts solely on the breach of the non-competition clause. Should Depot sue with respect to the overstatement of accounts receivable? Although there was an overstatement of the accounts receivable on Sanfords financial statements, Depot should not sue for this misrepresentation. This is because Sanford innocently miscalculated the accounts receivable figures; it was not done in a fraudulent or negligent manner. While the statement was a misrepresentation given the fact that it was false, unambiguous, concerned with a fact, and material, it does not fully satisfy all of elements of actionable misrepresentation. As a result, Depot should not sue. In the case of innocent misrepresentation, the result is the remedy of rescission. This means that the contract would be cancelled, and both parties would return to their pre-contractual ownership positions. This is likely not in Depots best interest, as they have already owned the business for two years, and have thus invested a significant amount of time and money into the businesss development. Moreover, Depot has known about this error since approximately January 2015, and did not act upon it immediately. This reduces the likelihood of the remedy of rescission. Due to the innocent nature of the misrepresentation, and the fact that the only outcome is rescission, Depot should not pursue any legal remedy with regards to the misstated accounts receivable. What should Depot do? For the reasons outlined above, Depot should sue Sanford for breaching their contract, specifically the non-competition clause of it. The company is very likely to win a legal dispute against Sanford, and runs the risk of losing even more business to Sanford if they choose to remain passive. Going forward, Depot should hire a lawyer to represent them, and to examine precedent cases in order to evaluate the most appropriate course of legal action. Depot should also consider whether or not the financial compensation that may be awarded in a lawsuit will outweigh the direct and indirect costs involved in a lawsuit. Legal action is most likely worth Depots time and money in this case, as an injunction on Sanford would allow them to establish themselves in the insurance industry and create customer relationships without Sanfords competition for the remaining time frame of the covenant. In order to avoid losing more customers to Sanford, who has many connections and more experience in the local competitive landscape, Depot should pursue legal action immediately.
